YKL Terms of Service
Effective Date: August 12, 2026
1. Acceptance of These Terms
These Terms of Service ("Terms") govern access to and use of the YKL Global Social Media Operations Platform, YKL websites, applications, business tools, and related services provided under the YKL brand (collectively, the "Service").
The Service is operated by Hangzhou YunKaiLiang Intelligent Technology Co., Ltd. ("YKL," "we," "us," or "our"), with its registered address at Room 405-2, Building 2, Lejia International Building, Wuchang Subdistrict, Yuhang District, Hangzhou, Zhejiang Province, China.
By creating an account, accepting an order, accessing the Service, or using any feature, the person and the organization on whose behalf that person acts agree to these Terms. If a person does not agree, that person must not use the Service.
If an individual uses the Service for an organization, that individual represents that they have authority to bind the organization. In these Terms, "Customer" means the person or organization that obtains the Service, and "Authorized User" means an individual permitted by the Customer to use it.
Our Privacy Policy at https://www.ykltop.com/privacy, Data Deletion Instructions at https://www.ykltop.com/data-deletion, Authorization Revocation Instructions at https://www.ykltop.com/authorization-revocation, and any applicable order, offer, product notice, or platform-specific terms form part of the agreement governing the Service. If an order expressly conflicts with these Terms, the order controls only for that specific commercial term.
2. Eligibility and Business Use
The Service is intended for businesses, individual business operators, and personnel authorized by an organization. An Authorized User must:
- be at least 18 years old;
- have legal capacity to enter into a binding agreement;
- use the Service for lawful business purposes; and
- have the authority required for any account, content, data, or third-party business asset connected to the Service.
The Service is offered only in locations where YKL makes it available and where its use is lawful. YKL does not represent that every feature is available or appropriate in every country or region.
3. Accounts and Organization Administration
Customers and Authorized Users must provide accurate, current, and complete information and keep it updated.
Customers are responsible for:
- selecting and managing organization administrators;
- assigning appropriate member roles and permissions;
- promptly removing access for personnel who are no longer authorized;
- protecting account credentials and authentication devices;
- activity performed through their accounts, except to the extent caused by YKL's breach of applicable obligations; and
- notifying YKL promptly of suspected unauthorized access or security incidents.
Organization administrators may access and manage organization information, members, roles, content, integrations, usage, and other data according to the Service's controls.
Users must not share passwords, impersonate another person, evade security controls, or provide a third-party platform password to YKL. YKL may require additional verification before permitting sensitive account actions.
4. The Service
Depending on the version, plan, region, technical readiness, third-party availability, and permissions, the Service may provide:
- account, organization, member, and role management;
- content drafting, translation, media preparation, and approval workflows;
- user-initiated image and video generation within the Content Factory;
- authorized connections to eligible third-party platforms;
- scheduling, publishing, status, and record-management tools;
- permitted platform metrics and operational reporting;
- landing pages, forms, inquiries, and follow-up workflows;
- usage, quota, entitlement, and order records; and
- support, export, deletion, revocation, and security controls.
A description on a website, roadmap, interface, or policy does not guarantee that a particular feature, platform, scope, account type, capacity, or integration is available. Features may be:
- limited by the user's authorization or account role;
- limited by platform approval, API availability, quotas, rate limits, or policy;
- available only in a test, Sandbox, Trial, Development, beta, or restricted environment;
- enabled only for certain Customers or plans; or
- modified, suspended, or discontinued.
YKL does not promise that it has or will obtain every permission offered by a third-party platform.
5. Third-Party Platforms and OAuth
The Service may allow a Customer to connect an eligible third-party account, page, channel, board, professional profile, organization page, or other business asset.
The Customer and Authorized User represent that:
- they own or are authorized to manage the connected asset;
- they will use official authorization methods made available by the platform;
- they will request only actions permitted by the platform and applicable law;
- they will comply with the platform's terms, policies, and community rules; and
- they will not use YKL to circumvent a platform restriction.
An integration is subject to the platform's:
- approval of YKL's developer application;
- API products, permissions, and scopes;
- account eligibility and user role requirements;
- availability, quotas, rate limits, moderation, and technical operation; and
- right to change, restrict, suspend, or terminate access.
YKL is not endorsed by a third-party platform unless expressly stated by that platform. Platform names and marks belong to their respective owners.
5.1 User Authorization
Connecting an account must occur through the platform's official OAuth or authorization process. YKL does not ask for a third-party social media password.
OAuth authorization alone does not constitute permission for every action. The Service may require an additional preview, selection, confirmation, or approval before an external action.
5.2 Disconnecting an Integration
Users may disconnect an integration through YKL's authorization controls or the platform's own settings. Upon disconnection, YKL will stop new activity for the connection and handle credentials and retained data according to the Privacy Policy, Authorization Revocation Instructions, platform requirements, and applicable law.
Disconnecting YKL does not automatically delete content already published on the platform.
6. User Content
"User Content" means content, data, files, prompts, drafts, media, business information, form configuration, inquiry information, and other material submitted to or created through the Service by or for a Customer.
As between YKL and the Customer, the Customer retains its rights in User Content. The Customer grants YKL a non-exclusive, worldwide, limited license to host, reproduce, process, adapt, transmit, and display User Content only as reasonably necessary to:
- provide and secure the Service;
- perform the Customer's instructions;
- support authorized users;
- prevent abuse and comply with law; and
- maintain and improve Service reliability without using Connected Platform data for prohibited purposes.
The Customer represents that it has all rights, permissions, and legal bases required for User Content and its intended use.
The Customer must not submit or use content that:
- infringes intellectual property, privacy, publicity, confidentiality, or other rights;
- is unlawful, deceptive, fraudulent, defamatory, abusive, or harmful;
- contains malware or attempts to compromise a system;
- violates a third-party platform's terms or content rules;
- contains personal information collected without appropriate authority or notice; or
- is intended to manipulate, spam, harass, or mislead users.
YKL may remove, restrict, or disable access to content where reasonably necessary to comply with law, platform requirements, these Terms, or security obligations.
7. Content Factory and AI Generation
AI processing is limited to image and video generation tasks that an Authorized User intentionally starts within the Content Factory.
For an enabled task:
- OpenAI may process the prompt, product information, source media, and task settings selected by the user for preprocessing and image-generation functions;
- YKL obtains and integrates OpenAI API services directly through an OpenAI account controlled by Hangzhou YunKaiLiang Intelligent Technology Co., Ltd., without routing those OpenAI requests through a third-party API reseller or aggregation gateway; and
- Volcano Engine's Seedance service may process the prompt, settings, and source or intermediate media necessary for user-initiated video generation.
YKL does not send Connected Platform Data, social-platform credentials, posts, comments, private messages, inquiries, customer emails, audience information, platform metrics, or analytics data to OpenAI, Volcano Engine, or another AI provider. YKL does not use such data to train, fine-tune, or improve a generalized AI or machine-learning model.
The publishing center does not use AI to generate or optimize titles, captions, post text, comments, replies, private messages, lead scores, intent classifications, or publishing decisions. A user may manually select Content Factory output as publishing material, edit it, select any required AI-generated-content disclosure, and separately confirm an enabled publishing action.
AI-generated output:
- may be inaccurate, incomplete, unsuitable, or similar to output provided to others;
- does not constitute legal, financial, regulatory, platform-policy, or professional advice;
- must be reviewed by the Authorized User before use;
- may require correction, labelling, disclosure, or modification to comply with law and platform rules; and
- is not guaranteed to produce growth, engagement, inquiries, customers, or sales.
The Customer is responsible for having the rights and lawful authority needed for prompts, product information, reference materials, source media, generated output, and the intended use. The Customer is also responsible for reviewing output and applying any required AI-generated-content label or disclosure.
AI processing never authorizes or triggers a social-platform post, comment, reply, private message, lead decision, or other external action.
Users must not submit platform credentials, passwords, access tokens, refresh tokens, client secrets, authorization codes, webhook secrets, or information that is not necessary for the selected Content Factory task.
8. Publishing and External Actions
Where publishing or another write action is enabled:
- the Authorized User must select an eligible Connected Platform Account;
- the content and relevant settings must be available for review;
- the user must intentionally initiate or confirm the action;
- YKL may transmit the action through the platform's official API; and
- the platform controls acceptance, moderation, distribution, removal, and final status.
The Customer is responsible for:
- content accuracy and legality;
- intellectual property and required releases;
- advertising, sponsorship, endorsement, commercial-content, and AI disclosure requirements;
- platform-specific privacy and audience settings;
- avoiding duplicate, bulk, aggressive, manipulative, or spam behavior; and
- reviewing final status on the relevant platform.
YKL may impose limits, human-confirmation requirements, cooldowns, or safety controls that are stricter than a platform's technical rate limit.
9. Prohibited Uses
The Customer and Authorized Users must not use the Service to:
- scrape or access a platform through unauthorized means;
- bypass OAuth, platform review, permission, rate limit, geographic restriction, moderation, or security controls;
- obtain, share, sell, or expose third-party credentials or tokens;
- conduct bulk, aggressive, repetitive, or unsolicited publishing, replies, comments, messages, follows, likes, or other engagement;
- artificially inflate views, followers, reactions, or other metrics;
- send unsolicited direct messages or cold outreach through a platform;
- use platform data for unlawful surveillance, discrimination, sensitive profiling, credit, insurance, employment, housing, or similar decisions;
- match a platform identity with off-platform data contrary to consent, reasonable expectations, or platform rules;
- train a foundation or frontier model using platform data without express authorization;
- sell, license, or provide platform data to a data broker;
- create malware, phishing, fraud, impersonation, or deceptive content;
- violate sanctions, export controls, anti-bribery laws, consumer laws, privacy laws, or intellectual property rights;
- interfere with, overload, reverse engineer, or compromise the Service; or
- enable another person to do any of the foregoing.
YKL may investigate suspected misuse and may restrict or suspend access while doing so.
10. Customer Data Protection Responsibilities
The Customer is responsible for:
- providing legally required notices to its personnel, contacts, and form submitters;
- obtaining legally required consent;
- configuring forms and workflows to collect only necessary information;
- responding to rights requests for data the Customer controls;
- issuing lawful instructions to YKL;
- maintaining appropriate internal access controls; and
- not directing YKL to process information in violation of law or platform rules.
If the parties enter into a separate data-processing agreement, that agreement controls for the processing it covers.
11. Security
YKL uses measures designed to protect the Service, but no system is completely secure.
Customers must use reasonable security practices, including strong credentials, supported authentication controls, limited administrator access, and prompt revocation of former personnel.
Users must not include a Secret, token, OAuth code, private callback parameter, or unredacted third-party error payload in a support ticket. YKL may provide a secure alternative where sensitive diagnostic information is genuinely required.
12. Usage Limits and Platform Limits
YKL may apply:
- plan, usage, storage, processing, or account limits;
- technical safeguards and fair-use limits;
- platform-specific rate and action limits;
- temporary restrictions during maintenance or an incident; and
- restrictions required by a platform or law.
YKL plan limits are not platform permissions. Purchasing a plan, entitlement, quota, or credit does not grant an API scope or override a platform restriction.
13. Fees, Trials, and Payment
Some features may be free, included in a trial, offered by quotation, or subject to fees. The applicable offer or order will identify the price, currency, billing period, taxes, included usage, and material limits.
YKL may offer a free trial or other evaluation access from time to time. A trial is available only if expressly displayed in the applicable offer or sign-up flow. Trial duration, features, limits, eligibility, and conversion terms are governed by that offer. These Terms do not independently promise a seven-day trial.
Fees are generally non-refundable after purchase or service activation, except where required by applicable law or expressly stated in an applicable order or offer. YKL may review a refund request case by case.
If recurring billing is offered, the applicable order or checkout must disclose the renewal and cancellation terms before the Customer commits. These Terms do not independently create or imply an automatic-renewal arrangement.
The Customer is responsible for applicable taxes, excluding taxes imposed on YKL's net income.
14. Intellectual Property
YKL and its licensors own the Service, software, workflows, documentation, visual design, trademarks, and related intellectual property, excluding User Content and third-party materials.
Subject to these Terms and any applicable order, YKL grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the applicable service period for the Customer's internal business purposes.
The Customer must not copy, resell, sublicense, reverse engineer, or create a competing service from YKL's non-public technology, except to the extent a restriction is prohibited by law.
If a Customer voluntarily provides feedback, YKL may use it without restriction or payment, provided YKL does not disclose the Customer's confidential information contrary to an applicable obligation.
15. Confidentiality
Each party may receive non-public information that should reasonably be understood as confidential. The receiving party will:
- use confidential information only to perform or receive the Service;
- protect it using reasonable care; and
- disclose it only to personnel and service providers who need to know it and are subject to appropriate obligations.
Confidential information does not include information that the receiving party can demonstrate:
- is publicly available without breach;
- was lawfully known without restriction;
- was lawfully received from a third party; or
- was independently developed without using the other party's confidential information.
A party may disclose information where legally required after providing notice where lawful and reasonably practicable.
16. Service Changes, Availability, and Beta Features
YKL may improve, modify, suspend, or discontinue features. Where a change materially reduces a paid core feature, YKL will use reasonable efforts to provide notice appropriate to the circumstances.
The Service may be interrupted by:
- maintenance;
- third-party API changes;
- platform outages or enforcement;
- internet or infrastructure events;
- security incidents;
- government action; or
- events beyond YKL's reasonable control.
Sandbox, Trial, Development, beta, preview, or evaluation features may be limited, changed, or withdrawn and may not be suitable for production use.
17. Support
Support is available through the channels identified at https://www.ykltop.com/contact.
YKL may prioritize requests according to severity, plan, security impact, platform deadlines, and available information. Response or resolution times are not guaranteed unless an applicable written service level states otherwise.
18. Suspension
YKL may restrict or suspend access where reasonably necessary because:
- the Customer has materially breached these Terms;
- use creates a security, legal, platform-policy, or operational risk;
- fees are overdue, where paid service applies;
- a platform or authority requires restriction;
- the account appears compromised;
- activity may harm another person or the Service; or
- continued access could expose YKL or others to liability.
Where appropriate, YKL will provide notice and a reasonable opportunity to cure. Immediate action may be taken where necessary to protect security, users, platforms, or legal compliance.
19. Termination
The Customer may stop using the Service and request account closure according to the Data Deletion Instructions.
YKL may terminate the agreement for a material breach that is not cured within a reasonable period after notice, or immediately where the breach cannot be cured or continued service would be unlawful or materially harmful.
Upon termination:
- the Customer's access rights end;
- active third-party connections should be disconnected;
- unpaid amounts remain due;
- information is handled according to the Privacy Policy and applicable retention requirements; and
- provisions that by their nature should survive will survive, including intellectual property, confidentiality, disclaimers, liability, indemnity, payment, and dispute provisions.
The Customer should export available data before termination where continued access is needed.
20. Disclaimers
To the maximum extent permitted by applicable law:
- the Service is provided on an "as is" and "as available" basis;
- YKL disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability;
- YKL does not warrant that content, AI output, metrics, translations, recommendations, or platform status will be accurate or complete;
- YKL does not control third-party platforms, accounts, APIs, moderation, distribution, policies, or outages;
- YKL does not guarantee approval by a platform; and
- YKL does not guarantee growth, engagement, inquiries, customer acquisition, revenue, or sales.
Nothing in these Terms excludes a warranty or liability that cannot lawfully be excluded.
21. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, business opportunity, or data, arising out of or relating to the Service, even if advised of the possibility.
To the maximum extent permitted by applicable law, YKL's aggregate liability arising out of or relating to the Service during the twelve months preceding the event giving rise to liability will not exceed the greater of:
- the fees paid or payable by the Customer to YKL for the Service during that twelve-month period; or
- RMB 1,000 if the Customer used only a free or evaluation version.
The limitations do not apply to the extent prohibited by law and do not limit liability for fraud, willful misconduct, or other liability that cannot legally be limited.
22. Indemnification
To the extent permitted by law, the Customer will defend, indemnify, and hold harmless YKL and its personnel from third-party claims, damages, and reasonable costs arising from:
- User Content;
- the Customer's or an Authorized User's unlawful use of the Service;
- violation of a third-party platform's rules;
- infringement or misuse of third-party rights;
- a form, inquiry, campaign, or communication configured by the Customer; or
- the Customer's breach of these Terms.
YKL will provide reasonable notice and cooperation. The Customer may not settle a claim in a manner that admits wrongdoing by YKL or imposes an obligation on YKL without YKL's written consent.
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles.
The parties will first attempt in good faith to resolve a dispute through consultation. If a dispute cannot be resolved, it will be submitted to a people's court with jurisdiction at the place of YKL's registered domicile, unless applicable law requires otherwise.
24. Changes to These Terms
YKL may update these Terms to reflect changes in the Service, law, security, or platform requirements. The current version will be posted at this URL with a revised Effective Date or Last Updated date.
Where a change materially affects an existing paid Customer's rights or obligations, YKL will provide reasonable notice. Continued use after the effective date of an update constitutes acceptance to the extent permitted by law.
25. General
Neither party may assign the agreement without the other party's consent, except that YKL may assign it in connection with a merger, reorganization, financing, or sale of all or substantially all relevant assets, subject to applicable law.
The parties are independent contractors. These Terms do not create a partnership, agency, employment, fiduciary, or franchise relationship.
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective.
A failure to enforce a provision is not a waiver.
Headings are for convenience only.
These Terms and incorporated documents constitute the agreement concerning the Service, subject to any applicable order or separately signed agreement.
